Amitech Elevators Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern the supply, installation, and maintenance of elevator and escalator equipment (“Equipment”) by Amitech Elevators (“Amitech”) to the customer (“Customer”). By placing an order with Amitech, the Customer agrees to be bound by these Terms.

2. Scope of Supply

2.1 Amitech will supply and install the Equipment in accordance with the agreed-upon specifications and quotation.

2.2 Amitech will provide the Customer with a user manual for the Equipment.

2.3 Amitech will offer separate maintenance packages for the Equipment. These packages will be subject to additional terms and conditions.

3. Delivery and Installation

3.1 Amitech will deliver and install the Equipment on the date(s) agreed upon with the Customer.

3.2 The Customer is responsible for providing a safe and level site for the installation of the Equipment.

3.3 Any delays in delivery or installation caused by the Customer’s failure to meet its obligations under this Clause 3 will be at the Customer’s expense.

4. Acceptance

4.1 Upon completion of the installation, Amitech will conduct a test run of the Equipment in the presence of the Customer.

4.2 The Customer will be deemed to have accepted the Equipment upon signing a handover certificate after a successful test run.

5. Warranty

5.1 Amitech warrants that the Equipment will be free from defects in materials and workmanship for a period of [insert warranty period] from the date of acceptance.

5.2 Amitech’s warranty obligation is limited to repairing or replacing defective parts at its sole discretion.

5.3 The warranty will be void if the Equipment is damaged due to misuse, neglect, unauthorized modification, or improper maintenance.

6. Payment

6.1 The Customer shall make payment to Amitech in accordance with the agreed-upon payment terms.

6.2 Late payments will be subject to a late payment fee.

7. Limitation of Liability

7.1 Amitech’s liability to the Customer under these Terms is limited to the cost of the Equipment.

7.2 Amitech will not be liable for any indirect or consequential losses suffered by the Customer.

8. Termination

8.1 Amitech may terminate these Terms immediately if the Customer breaches any of its obligations hereunder and fails to remedy such breach within [insert number] days of written notice.

8.2 The Customer may terminate these Terms immediately if Amitech fails to deliver or install the Equipment in accordance with these Terms.

9. Dispute Resolution

9.1 Any dispute arising out of or in connection with these Terms will be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

11. Entire Agreement

These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

13. Notices

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by registered post, or sent by email to the addresses of the parties set out below:

14. Amendment

These Terms may be amended only by a written agreement signed by both parties.

15. Waiver

No waiver by either party of any breach of these Terms will be deemed to be a waiver of any preceding or subsequent breach.
